Position Summary

If you are a skilled professional who has a passion for corporate governance and improving the efficiency and effectiveness of boards, then this is an exciting opportunity to join ASEBP in the position of Governance Specialist.

The ASEBP Trustees operate under a Deed of Trust, with five Trustees appointed by the Alberta Teachers' Association and five Trustees appointed by the Alberta School Boards Association. The 10 Trustees comprise the Governing Body and have established two standing committees, the Executive & Governance Committee and the Audit & Risk Committee, as well as three Appeal Bodies.

The Trustees have a fast-paced governance schedule from September through June when the Governing Body and most committees meet monthly.

Reporting to the Manager, Governance, the successful candidate will utilize their corporate governance expertise to support the Governance team in providing service and advice to the Governing Body, its two standing committees, and senior management, contributing to a positive working relationship for all.

Your Key Responsibilities

Organize and manage meetings.

  • Support the sharing of information between the Trustees, senior management, and external service providers contracted by the Trustees.
  • Participate in Governing Body/Committee meetings as requested, including:
    • Support the Governance team as appropriate in ensuring effective Governing Body/Committee functioning.
    • Ensure the Governing Body/Committee is properly constituted and in compliance with requirements of the Deed of Trust (e.g., quorum, voting requirements, etc.) and any legislative (e.g., Alberta Trustee Act, privacy, etc.) rules and regulations.
    • Draft meeting agendas based on Governing Body/Committee work plans and emerging topics.
    • Draft and review briefing notes as requested.
    • Ensure governance procedures are followed as set out in the governing documents (including the Deed of Trust, Strategic Plan, Health & Benefits Charter, Trustees' policies, etc.).
    • Ensure the confidentiality of Governing Body/Committee deliberations as appropriate.
    • Coordinate correspondence, action items, and communication.
    • Prepare and circulate minutes as well as the details of the resolutions and decisions to support proper action by ASEBP.
  • Liaise with the Executive Assistant team to:
    • Organize Governing Body/Committee meetings, including scheduling, catering, travel arrangements, expenses, etc.
    • Collect, organize, and distribute meeting materials.
  • File resolutions as required; create, maintain, and retain official corporate records; act as a resource about corporate documents and other historical information.
  • Identify required updates to Governing Body/Committee and policy information, completing updates as requested.
  • Ensure the Governance and Administrative Manual/Governance Policy Manual and Committee manuals as well as the Trustee portal are up to date and contain the resource information needed by the Governing Body/Committee to fulfil their duties.
  • Maintain and circulate the Governing Body/Committee work plan; support the Governance team in ensuring key governance matters are discussed regularly.
  • Maintain retention policies for audio recordings, the Trustee portal, etc. and ensure adherence.

Provide support with corporate governance and compliance practices.

  • Keep current about evolving practices in corporate governance, sharing that information with the Governance team along with implications for potential application at ASEBP.
  • Draft and implement updates to governance policies, procedures and practices as requested.
  • Advise and assist the Governing Body/Committees with respect to their duties and responsibilities.
  • Monitor compliance with relevant regulatory, legal and policy requirements and report to the Governance team on any matters of non-compliance.

Governing Body and Committee Member onboarding and development.

  • Assist in the maintenance of the orientation and education program for the Governing Body/Committees.
  • Assist in Governing Body/Committee evaluations of performance.

Liaise with internal and external groups as required.

  • Serve as subject matter expert.
  • Support budget activities.

Your Education and Experience

  • Minimum of three years of experience working in corporate governance or in related field with relevant experience.
  • Post-secondary education in a related field.
  • D designation is an asset.
  • Experience working with a board portal, i.e., Diligent Boards, is preferred.

A combination of education and experience may be considered.

  • Ability to interact with Trustees, senior management, and external service providers in a manner which shows sensitivity, tact, and professionalism.
  • Exceptional organizational skills with an ability to effectively manage a busy portfolio.
  • Exercise initiative, discretion, and judgment in daily activities.
  • Experience with interpreting and applying policy and protocols.
  • Proven verbal and written communication skills, including minute-taking, policies, and procedures.
  • Keen attention to detail.
  • Strong analytical and interpretive skills.
  • Ability to deal with highly sensitive and confidential information as part of daily duties.
  • Strong computer skills.

Unique Working Conditions

Candidates must be available for occasional Saturday meetings. This position is eligible to participate in the hybrid workforce program.
